Scope
These conditions apply to every project you hire us for. Each project also has a proposal with its scope, deliverables, timeline and price. If the proposal says something different from these conditions, the proposal prevails.
Proposal and acceptance
From your idea and references we prepare a written proposal. Unless it says otherwise, it is valid for 15 days.
The project is hired when you accept the proposal in writing, by email or by message, and pay the deposit if there is one. Under Venezuela’s Law on Data Messages and Electronic Signatures, that electronic acceptance is fully valid.
Price and payments
The price, currency, payment methods and applicable taxes are stated in the proposal. Unless it says otherwise, work starts with a 50% deposit and the rest is paid before the final files are delivered. Work outside the agreed scope is quoted separately before it is done.
What you provide
You give us on time the information, plans, references, texts and logos the project needs, and you guarantee that you have the right to use them. Delays in that material or in your replies move the timeline by the same amount.
Revisions and timelines
The proposal states how many revision rounds it includes. Changes beyond those rounds or the scope are quoted separately. Timelines are estimates and depend on revisions arriving on time.
Delivery and approval
We deliver the files in the agreed formats. You have 7 days from delivery to report errors; without a report, the delivery is considered approved. Working files (for example Blender scenes or Unity projects) are delivered only if the proposal includes them.
Ownership and usage rights
- When you pay in full, you receive the right to use the final pieces for the purpose agreed in the proposal. If you need a full assignment of copyright, it is agreed in the proposal.
- Nix3D Studio keeps its tools, reusable code, libraries, templates and resources that existed before the project, and licenses you to use them within what was delivered.
- Third party engines, fonts, store assets and software keep their own licences, which we will point out when they affect your use.
- Until the project is paid in full, the rights over what was delivered remain with Nix3D Studio.
Working tools
We may use digital support tools, including AI assisted generation tools, in concept or production stages. We review and adapt the final result ourselves. If your project cannot use them, say so before accepting the proposal.
Portfolio and confidentiality
We may show the finished work in our portfolio and social media, unless you ask for confidentiality in writing before we start. Both parties keep confidential the non public information they receive from the other, and we can sign a confidentiality agreement if you need one.
Cancellation
You may cancel a project at any time by notice in writing. You pay for the work done up to that day, which is taken from the deposit; if the deposit covers more than the work done, we refund the difference. If we cancel for a reason that is not yours, we refund what you paid for work not delivered.
Warranty and support
For video games and interactive pieces we fix at no cost the errors in our work that you report within 30 days of delivery. This does not include new features, scope changes or failures caused by changes in third party platforms, stores or services. Later support can be hired separately.
Liability
To the extent the law allows, Nix3D Studio’s total liability for a project is limited to the amount paid for that project, and it is not liable for indirect damage or loss of profit.
Governing law
These conditions and each proposal are governed by the laws of the Bolivarian Republic of Venezuela. In any disagreement we will first seek an amicable solution for 30 days; if none is reached, the courts of the Bolivarian Republic of Venezuela will have jurisdiction.
